14) Governing law; dispute resolution

These Terms are governed by the laws of the State of New York, USA, without regard to conflict-of-laws rules.

Arbitration & class-action waiver. Any dispute arising from these Terms or the Service will be resolved by binding arbitration in New York County, New York, under the rules of the American Arbitration Association (AAA). You and Salt Clarity waive any right to a jury trial and to participate in a class or representative action. Either party may bring a qualifying claim in small-claims court instead of arbitration.

15) Miscellaneous

  • If any provision is found unenforceable, the rest remain in effect.
  • Our failure to enforce a provision is not a waiver.
  • You may not assign these Terms without our consent; we may assign them as part of a merger, acquisition, or sale of assets.
  • These Terms constitute the entire agreement between you and Salt Clarity regarding the Service.
